Terms defined in the CPRA have the same meaning when used in this notice. We collect Personal Information from the following categories of sources:
- Your communications with us;

Purpose for Collection and Use of Personal Information. We may collect or use Personal Information for one or more of the following purposes:

- Providing you with performance and other updates;
- One or more of the following business purposes:
- Performing services (for us or our service provider or contractor) such as account servicing, processing orders and payments, and analytics;
- Legal compliance;
- Detecting and protecting against security incidents, fraud, and illegal activity;

Length of Time. We will keep your Personal Information for as long as necessary to comply with our regulatory obligations.
Rights of California Consumers. The CPRA provides a California consumer the following rights, subject to certain exceptions and limitations:
- The right to request: (a) the categories and specific pieces of Personal Information we collect about you; (b) the categories of sources from which we collect your Personal Information; (c) our business or commercial purposes for collecting, selling or sharing your Personal Information; (d) the categories of Personal Information disclosed for a business purpose or shared with third parties (for cross-context behavioral advertising) and the categories of persons to whom it was disclosed or shared; (e) the categories of your Personal Information (if any) that we have either sold, shared, or disclosed.
- The right to request that we delete your Personal Information, subject to certain exceptions.

You may only make a verifiable request for access or data portability twice within a 12-month period. All verifiable requests must provide (1) enough information that allows us to reasonably verify you are the person about whom we collected Personal Information or an authorized agent and (2) sufficient detail that allows us to properly evaluate and respond to it. We may need to request additional information from you to verify your identity or understand the scope of your request. If we are unable to verify your identity, we will need to deny your request. You may designate an authorized agent to make a CPRA request on your behalf and we reserve the right to seek proof that you have given the authorized agent signed permission to act on your behalf.
We endeavor to respond to a verifiable request within 45 days of its receipt. If we require more time, we will inform you of the reason and extension period in writing. We will deliver our written response by mail or electronically, at your option.

14. New York law and jurisdiction govern this Agreement.
This Agreement shall be governed by and construed in accordance with the laws of the State of New York, without regard for the conflict of laws principles thereof. Each party hereby consents to the exclusive jurisdiction of the state and federal courts of New York. Each party waives, to the fullest extent permitted by applicable law, any right it may have to a trial by jury in respect of any suit, action or proceeding relating to this Agreement.
15. You are bound by certain other general conditions.
We may assign this Agreement in whole or in part at any time without your consent. You may not assign this Agreement or delegate any of your obligations under this Agreement. Any purported assignment of this Agreement in violation of its terms is void. If any provision of this Agreement is found invalid or unenforceable, that provision shall be enforced to the maximum extent possible and the remaining provisions of this Agreement shall remain in full force and effect. No waiver by Centerbridge of any term of these Terms of Use shall be deemed a waiver of any other term of these Terms of Use. This Agreement constitutes the entire understanding, and supersedes all other understandings, between you and Centerbridge concerning the subject matter hereof.

COMMITMENT TO THE UK STEWARDSHIP CODE
Under Rule 2.2.3R of the FCA’s Conduct of Business Sourcebook, Centerbridge Partners Europe, LLP, directly and/or through its affiliates (“Centerbridge”), is required to make a disclosure about the nature of its commitment to the UK Financial Reporting Council’s Stewardship Code (the “Code”) or, where it does not commit to the Code, its alternative investment strategy. The Code is a voluntary code and sets out a number of principles relating to engagement by investors with UK equity issuers. Investors that commit to the Code can either comply with it in full or choose not to comply with aspects of the Code, in which case they are required to explain their alternative investment strategy. Centerbridge supports the overall principles of the Code and has adopted a proxy voting policy, a conflicts policy and various related procedures designed to reflect such principles where consistent with all of the following: the investment program of the Centerbridge funds, the governing documents of our funds, applicable laws within and outside the UK to which Centerbridge is subject and, above all, the best interests of our investors as a whole. We make such information available to investors and prospective investors, consistent with our obligations under applicable law. Under the Shareholder Rights Directive II (the “Directive”), Centerbridge Partners Europe, LLP, directly and/or through its affiliates (“Centerbridge”), is required to make a disclosure about the nature of its commitment to the Directive, or, where it does not commit to the Directive, to provide a clear and reasoned explanation for not doing so. The Directive sets out a number of principles relating to the role of shareholder engagement and the exercise of voting rights in EU listed companies. While Centerbridge supports the overall principles of the Directive, Centerbridge’s investment strategies (credit, private equity and real estate) involve only minimal activity in scope of the Directive. Therefore we have determined not to adopt an engagement policy, and to rely instead on the Firm’s existing policies and procedures, including our proxy voting policy, our conflicts policy and various related procedures already in effect, which are directly responsive to the principles of the Directive and which Centerbridge has determined are proportionate to the risks of the business. We make such information available to investors and prospective investors, consistent with our obligations under applicable law.
